Charity and NGO Terms and Conditions

These Charity and NGO Terms and Conditions (“NPO Terms”) apply to any charity, non profit, NGO, or other mission driven organisation (“NPO”, “you”, “your”) that applies to be listed on, onboarded to, or uses the charity tools, dashboards, and services made available through the EffortX platform (the “Platform”).
These NPO Terms sit alongside the EffortX User Terms. If there is a conflict, these NPO Terms govern your relationship with EffortX in relation to NPO onboarding, listing, project management, milestones, updates, verification, and payouts.
1. About EffortX
1.1 EffortX Labs Pte. Ltd. (Singapore)
The Platform technology and software services are operated by EFFORTX LABS PTE. LTD. (“EffortX Labs”, “we”, “us”, “our”), a Singapore company.
1.2 EffortX Foundation (Australia)
EffortX’s charitable arm is EffortX Foundation, an independent not for profit organisation registered in Australia (“EffortX Foundation”).
1.3 Important separation
EffortX Labs is a technology provider and is not a charity. EffortX Foundation is the charitable arm of EffortX, and may operate certain initiatives presented on the Platform.
1.4 Third party charities
Some projects and initiatives on the Platform are operated by vetted third party organisations. These organisations are reviewed by EffortX before being listed, but remain independent and responsible for their own governance, operations, and delivery.
2. Acceptance and authority
2.1 By applying for onboarding, clicking to accept, signing an order form (if any), or using the NPO features of the Platform, you confirm that you:
- (a) are authorised to bind your organisation to these NPO Terms, and
- (b) will ensure your organisation complies with these NPO Terms.
2.2 If you do not agree, do not use the NPO features of the Platform.
3. Definitions
Campaign / Project
A charitable initiative listed or proposed to be listed on the Platform.
Community Fund
A pooled funding mechanism that may allocate funds to projects according to Platform rules.
Content
Text, images, videos, logos, and documents you provide to the Platform.
Evidence
Proof supporting progress (receipts, invoices, photos) provided via links.
Milestone
A defined stage of a project with an intended outcome and associated funding.
Payout
Release of funds associated with a project subject to verification and controls.
4. Scope of the Platform
4.1 The Platform provides tools to create profiles, publish project information, post updates, and support verification workflows.
4.2 EffortX Labs does not guarantee fundraising results or project success.
4.3 EffortX Labs is not a bank or payment processor. Payment services are provided by third parties.
4.4 Nothing on the Platform is intended to be financial, legal, tax, or investment advice.
5. Eligibility and onboarding
5.1 You must provide accurate registration details, governance information, and documentation supporting your legal status.
5.2 We may accept, reject, pause, or delay onboarding at our discretion for compliance or risk reasons.
5.3 You must promptly update any information that becomes inaccurate.
6. Your responsibilities
6.1 You are responsible for content accuracy, project delivery, and legal compliance.
6.2 You must not use the Platform in any unlawful, misleading, or harmful way.
6.3 You must not submit content that infringes IP, contains malware, or is abusive.
7. Representations and warranties
You warrant that you are in good standing, will use funds only for stated purposes, and will comply with anti-bribery and sanctions requirements.
8. Content standards
8.1 You must present projects clearly, including beneficiaries, outcomes, and timelines.
8.2 You must provide relevant, authentic Evidence (receipts, etc.) as requested.
8.3 You must maintain accessible Evidence links.
9. Milestones and verification
9.1 You must define milestones in good faith and post progress updates honestly.
9.2 We may review updates and Evidence before showing them publicly or allowing payouts.
9.4 You acknowledge that milestone status and transparency info may be displayed publicly.
10. Payouts and receipts
10.1 Payouts may depend on verification of earlier milestones.
10.2 We may require receipt proof before marking funds as paid.
10.3 We are not responsible for bank delays or compliance checks outside our control.
11. Community Fund specific terms
The Community Fund allocates funds based on Platform rules. Participation does not create an entitlement to allocations, which are subject to verification and compliance checks.
12. Fees, taxes, and reporting
Fees will be disclosed in-product. You are responsible for your own taxes and regulatory reporting.
13. Data and privacy
You must comply with privacy laws and must not sell or misuse user data.
14. Intellectual property
You retain Content ownership but grant EffortX a licence to host and display it to operate and promote the Platform.
15. Vetting and removal
We may suspend or remove any project where there is misleading content, misuse of funds, or legal risk.
16. Disclaimers
The Platform is provided "as is". We are not responsible for third-party outages or service interruptions.
17. Limitation of liability
Our aggregate liability is limited to fees paid in the last 12 months (or SGD 1,000 if none).
18. Indemnity
You indemnify EffortX against losses arising from your Content, misconduct, or breach of these terms.
19. Term and termination
Terms apply until terminated. We may suspend access immediately for material breaches or safety risks.
20. Governing law
Governed by the laws of Singapore.
21. Changes
We may update these NPO Terms by posting a new version. Continued use constitutes acceptance.
